How do I start an LLC for a small business?
An LLC is a filing, not a business. Here is the honest order of operations, what it costs, and the three mistakes that cost new owners the most.
An LLC is one of the cheapest ways to separate your personal money from a business, but it is the middle of the process, not the beginning. Registering before you know what you sell and who pays you is how people end up paying annual fees for an empty company.
Decide what the LLC is actually for
Write one sentence: "This business does X for Y and gets paid Z." If you cannot write it, the filing can wait. The structure you need depends on what you do — a consultant with no inventory has different needs from someone storing stock or hiring staff.
Also check whether your trade needs a licence, permit or registration before you can legally trade. An LLC does not grant permission to practise; it only organises the money.
Choose a name that survives a search
Search your state or national business register for the name you want, then search the web and the main social handles. A name that is taken by an active business in the same field will cause problems later, and a name that is impossible to spell will cost you customers every month.
Most jurisdictions require a distinguishable name and an ending such as LLC, Ltd or SARL. Reserve the name only if you are ready to file within weeks — reservations expire.
File, then do the three things nobody mentions
Filing is the easy part: a form, a fee, usually between the price of a good dinner and a month of rent depending on where you live. The parts that catch people out come after:
A registered agent. Someone with a physical address in the jurisdiction who can receive legal mail during business hours. In many places you can be your own agent, but only if you are reliably at that address.
A separate bank account. Completely separate. The single fastest way to lose the protection an LLC offers is to pay personal bills from the business account. Open it the week the filing is approved and move every business transaction there.
The annual obligation. Most places charge an annual fee or report. Put it in your calendar with a reminder thirty days before. Missing it can dissolve the company and, in some places, make the name available to someone else.
Decide how you are taxed, deliberately
By default many jurisdictions treat a single-owner LLC as a pass-through: profits appear on your personal return and you pay tax on them. That is often fine at small revenue and gets uncomfortable as profit grows. Ask a local accountant where the threshold sits for you, because it differs by country and by income.
Do not take tax advice from a generic article, this one included. The structure is cheap to set up and expensive to get wrong.
Keep the paperwork from day one
Save every receipt and invoice from the first transaction. Use a simple folder structure — income, expenses, contracts, tax — and one place where the numbers live. This is the difference between a calm first tax season and a scramble that costs more than the filing fee.
The three most expensive mistakes
Registering in a state or country where you do not operate because someone online said it was cheaper; treating the LLC as a legal shield for work you have not insured; and mixing personal and business money until the accounts are unreconcilable.
Handle those three and the rest is maintenance.
Frequently asked questions
Do I need an LLC before I make my first sale?+
No. Many people legally trade as a sole trader or individual first. Form the LLC when you have revenue, clients or risk worth protecting, or when a contract requires a registered entity.
Can I run an LLC from another country?+
Sometimes, but it depends on where you live, where your customers are and where you do the work. Get local advice before filing abroad — the annual fees and tax filings rarely make it cheaper.
What happens if I ignore the annual report?+
Fees and penalties accumulate, and in many places the company is administratively dissolved. Reinstatement usually costs more than the original filing.
